1. Program Overview

The TheAIGNC Referral Program ("Program") allows approved participants ("Referral Partners") to earn commissions by referring new members to the AI Business Accelerator program operated by TheAIGNC LLC ("Company"). By participating in the Program, you agree to be bound by these Terms & Conditions.

2. Eligibility

To participate in the Program, you must:

  • Be at least 18 years of age
  • Complete the referral application form with accurate information
  • Provide valid government-issued identification
  • Provide valid banking details (IBAN) for commission payments
  • Not be a current employee of TheAIGNC LLC
  • Comply with all applicable laws in your jurisdiction

The Company reserves the right to approve or reject any application at its sole discretion.

3. Commission Structure

3.1 One-Time Referral Bonus

Referral Partners earn a one-time commission of $1,000 USD for each new member who joins the AI Business Accelerator through their unique referral link and completes payment of the one-time setup fee.

3.2 Recurring Commission

Referral Partners earn a recurring commission of $20 USD per month for each referred member who maintains an active monthly membership. Recurring commissions are paid for as long as the referred member remains an active, paying member.

3.3 Commission Cap

Recurring commissions for any single referral are capped at 24 months from the date the referred member first joins. After 24 months, the recurring commission for that referral ceases. There is no cap on the number of referrals a Partner may make.

3.4 Commission Eligibility

Commissions are earned only when:

  • The referred individual uses the Partner's unique referral link during signup
  • The referred individual completes full payment (setup fee for one-time bonus; monthly fee for recurring)
  • The referred individual is a genuinely new member (no prior account)
  • The Partner's account is in good standing at the time of payment

4. Payment Terms

4.1 Payment Method

All commissions are paid via Stripe Connect. Partners must maintain an active Stripe Connect account linked to their referral profile. The Company is not responsible for delays caused by Stripe or the Partner's banking institution.

4.2 Payment Schedule

One-time referral bonuses are paid within 30 days of the referred member's setup fee clearing. Recurring commissions are paid monthly, within 15 days of each calendar month's end.

4.3 Minimum Payout

Commissions are paid when the accumulated balance reaches a minimum of $50 USD. Balances below this threshold carry over to the next payment period.

4.4 Currency

All commissions are denominated and paid in USD. Currency conversion fees, if applicable, are the Partner's responsibility.

5. Tax Responsibility

Referral Partners are solely responsible for reporting and paying all taxes on commissions earned through the Program. The Company does not withhold taxes on commission payments. Partners are advised to consult with a tax professional in their jurisdiction regarding their tax obligations. The Company may request tax identification information and may issue tax forms as required by applicable law.

6. Prohibited Activities

Referral Partners shall NOT:

  • Spam: Send unsolicited bulk emails, messages, or communications promoting the referral link
  • Misrepresent: Make false, misleading, or exaggerated claims about the Program, commissions, or the AI Business Accelerator
  • MLM-like promotion: Present the referral program as a multi-level marketing, pyramid, or network marketing opportunity. The Program is a single-tier referral program only.
  • Self-referral: Create multiple accounts or refer themselves
  • Incentive stacking: Offer unauthorized discounts, rebates, or kickbacks to prospective members
  • Paid advertising: Use paid advertising (PPC, social ads) that uses TheAIGNC trademarks without prior written approval
  • Impersonation: Claim to be an employee, agent, or official representative of TheAIGNC LLC
  • Cookie manipulation: Use any technical means to override, replace, or manipulate referral tracking cookies

7. Brand Use Restrictions

Referral Partners may not use TheAIGNC name, logo, trademarks, or brand assets without prior written approval from the Company. Certified members of the AI Business Accelerator who have completed the certification program may use approved certification badges as provided by the Company, subject to the Company's brand guidelines.

8. Independent Contractor Status

Referral Partners are independent contractors and are NOT employees, agents, or legal representatives of TheAIGNC LLC. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. Partners have no authority to bind, commit, or make representations on behalf of the Company. Partners are responsible for their own business expenses, tools, and operations.

9. Termination

9.1 Termination by Partner

Partners may terminate their participation at any time by notifying the Company in writing. Outstanding commissions will be paid according to the standard payment schedule.

9.2 Termination by Company

The Company may terminate a Partner's participation immediately and without notice if the Partner violates any provision of these Terms, engages in prohibited activities, or engages in conduct that the Company deems harmful to its reputation or business interests. Upon termination for cause, all unpaid commissions may be forfeited.

9.3 Effect of Termination

Upon termination, the Partner's referral link will be deactivated. Recurring commissions for previously referred members will cease. The Partner must immediately stop representing any affiliation with the Program.

10. Modification of Terms

The Company reserves the right to modify these Terms, the commission structure, or any aspect of the Program at any time. Partners will be notified of material changes via email at least 30 days before they take effect. Continued participation after changes take effect constitutes acceptance. If a Partner does not agree with changes, their sole remedy is to terminate participation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE TOTAL COMMISSIONS PAID TO THE PARTNER IN THE 12 MONTHS PRECEDING THE CLAIM. THE COMPANY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13. Data Protection (PDPL Notice)

The Company collects and processes personal data provided in the referral application in accordance with the UAE Personal Data Protection Law (PDPL) and the Company's Privacy Policy. Personal data collected includes:

  • Full name, email, phone number, and country of residence
  • Government-issued identification documents (for identity verification)
  • Banking information (IBAN) and optional cryptocurrency wallet addresses
  • Referral activity data (clicks, signups, commissions)

This data is used solely for the purposes of administering the Program, processing payments, and complying with legal obligations. Partners may request access to, correction of, or deletion of their personal data by contacting privacy@theaignc.com.

14. Entire Agreement

These Terms constitute the entire agreement between the Partner and the Company regarding the Program and supersede all prior agreements, negotiations, and discussions. If any provision is found to be unenforceable, the remaining provisions remain in full force and effect.
