Terms of Service

1. Who these terms are with

Where a signed proposal, statement of work, or order form exists between us, that document takes precedence over these terms on any point it addresses.

2. What we provide

TheAIGNC provides AI implementation services, which may include an implementation blueprint for a chosen workflow, custom AI agents, integrations with the systems you already use, automation of business messaging on your own accounts, dashboards, and training. The specific scope for your engagement is what is set out in your proposal or order form.

3. Your accounts stay yours

Where the service connects to a platform account — a WhatsApp Business Account and phone number, an Instagram professional account, a Facebook Page, a mailbox, or a business system — that account remains owned and controlled by you. You authorize TheAIGNC to act on it through the platform's own consent flow.

You may withdraw that authorization at any time from the platform's own settings. Withdrawal stops all further processing by us on that account. It does not, by itself, delete data already processed; for that, see our Data Deletion Instructions.

4. Your responsibilities

• You confirm you are authorized to connect the accounts you connect, and to instruct us to act on them.
• You are responsible for the lawful basis for contacting the people your agent messages, including any opt-in the platform requires, and for honouring opt-outs.
• You are responsible for the accuracy of the business content you ask the agent to send — prices, availability, commitments, and claims.
• You will keep your own access credentials secure and tell us promptly if they are compromised.

5. Platform rules

Services delivered on a third-party platform are also subject to that platform's rules, including Meta's Platform Terms, Developer Policies, the WhatsApp Business Messaging Policy, and the Instagram Platform Policy. If a platform restricts, suspends, or changes an account, a permission, or an API we depend on, we will tell you and work with you on the alternatives, but we are not responsible for the platform's decision.

6. Acceptable use

The service may not be used to send unsolicited bulk messages, to impersonate another person or business, to harass, to promote unlawful goods or services, to run deceptive practices, or to process data you have no right to process. We may suspend the service where we reasonably believe it is being used in these ways or where a platform requires us to.

7. Fees

Fees, currency, billing cycle, and payment terms are those stated in your proposal or order form. Platform and third-party charges — for example WhatsApp conversation charges or AI model usage billed by a provider — are separate from our fees unless the proposal says otherwise.

8. Data protection and confidentiality

Each party will keep the other's confidential information confidential. Personal data is handled as described in our Privacy Policy. For data processed on your accounts, you are the controller and TheAIGNC acts on your documented instructions.

9. Intellectual property

You keep ownership of your data, your content, and your accounts. TheAIGNC keeps ownership of its own platform, tooling, methods, and any general know-how. Deliverables prepared specifically for you are licensed or assigned to you as set out in your proposal.

10. Availability and warranties

We provide the service with reasonable skill and care. AI systems produce probabilistic output and can be wrong; the service is a tool to be supervised, not a substitute for your own judgement, and it is not legal, medical, or financial advice. We do not warrant uninterrupted or error-free operation, and dependencies outside our control — platforms, networks, and third-party providers — may interrupt it.

11. Liability

Neither party excludes liability where the law does not allow it. Subject to that, neither party is liable for indirect or consequential loss or loss of profit, and each party's total liability arising from the engagement is limited to the fees paid to TheAIGNC under that engagement in the twelve months before the event giving rise to the claim.

12. Term and termination

Either party may terminate as set out in the proposal, or on written notice if the other party commits a material breach and does not remedy it within 30 days. On termination we stop processing, and on your request we return or delete the data we hold for you, except where the law requires us to keep a record.

13. Changes

We may update these terms. The date at the top of this page shows when. Changes that materially affect an active engagement will be communicated to you directly before they apply.

14. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have jurisdiction.
